Terms of Service

These Terms of Service (these "Terms") govern your use of Gitlas (the "Service"), operated by Moon Technica Inc. (the "Company"). By registering for or using the Service, you agree to be bound by these Terms.
1. Definitions
"Service" means Gitlas and all related websites, applications, and features provided by the Company.
"User" means any individual or entity that uses the Service.
"Workspace" means the billing and collaboration unit within the Service to which members belong.
2. Agreement and Changes to the Terms
By using the Service, you agree to these Terms in full.
We may amend these Terms when necessary. Material changes will be announced within the Service or on our website, and the amended Terms take effect when posted. Continued use after the effective date constitutes acceptance.
3. Accounts and Registration
The Service uses GitHub authentication (OAuth). A valid GitHub account is required to register.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must provide accurate information and keep it up to date.
4. Plans, Fees, and Payment
The Service offers Free, Pro, Business, and Enterprise plans. Billing applies per Workspace as a flat company rate; the number of members is unlimited.
Paid plans (Pro ¥4,980/month, Business ¥14,800/month; prices include Japanese consumption tax) are billed monthly in advance through our payment processor, Stripe. Enterprise is offered under a separate quotation.
Paid plans include a 14-day free trial that requires a valid credit card. Unless canceled before the trial ends, the plan converts to a paid subscription and billing begins automatically.
Each plan includes a monthly allowance of AI credits. Usage beyond the allowance is charged on a metered basis at ¥1 per credit (tax included).
Upgrades are billed immediately on a prorated basis; downgrades are credited toward the next invoice. Fees already paid are non-refundable except as required by law.
5. Cancellation
You may cancel a paid subscription at any time before the next renewal date via the customer portal or within the Service. Access to paid features continues until the end of the current billing period, and no partial (prorated) refunds are provided.
6. AI Features and Generated Content
The Service provides AI-assisted features. AI output may be inaccurate or incomplete, and you are responsible for reviewing it and deciding how to use it.
To provide AI features, we transmit the necessary input data to third-party AI providers (such as OpenAI). See our Privacy Policy for details.
7. User Content and Data
Your source code and repository data remain on GitHub. The Service does not store your source code.
You retain all rights to the content you create. You grant the Company the limited rights necessary to operate and provide the Service.
8. Prohibited Conduct
You must not: violate laws or public order; infringe the intellectual property or other rights of the Company or third parties; gain unauthorized access to, or interfere with, servers or networks; reverse engineer the Service except as permitted by law; transmit malware; place an excessive load on the Service; use the Service for illegal or fraudulent purposes; or engage in any conduct the Company reasonably deems inappropriate.
9. Suspension and Termination
We may suspend or terminate your access without prior notice if you violate these Terms, fail to pay applicable fees, or for other reasonable cause.
10. Changes to and Interruption of the Service
We may change, suspend, or discontinue all or part of the Service. Where practicable, we will endeavor to provide advance notice of material changes.
11. Disclaimers and Limitation of Liability
Except as required by applicable law, the Service is provided "as is" without warranties of any kind, including fitness for a particular purpose, accuracy, or uninterrupted availability.
To the maximum extent permitted by law, the Company's liability for damages arising from the Service is limited to the total fees you paid for the Service during the three (3) months preceding the event giving rise to liability, and the Company is not liable for indirect, incidental, special, or consequential damages.
These limitations do not apply where the Company is liable due to willful misconduct or gross negligence, or where such limitation is prohibited by law (including the Consumer Contract Act of Japan).
12. Exclusion of Anti-Social Forces
You represent and warrant that you are not, and will not become, a member of or otherwise involved with organized crime groups or other anti-social forces.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the Saitama District Court as the court of first instance.
